Company Formation Done Properly From Day One

A limited company is a separate legal entity, and incorporation creates ongoing responsibilities for its directors. Before registration, you need to consider your company name, directors, shareholders or guarantors, people with significant control, registered office, SIC code and how the business will be structured. At Protax Consultants, we do more than submit a Companies House form. We structure the company around how you plan to operate, draw income, manage tax and meet your future filing obligations.

Our Company Incorporation Services

We provide practical support throughout the accurate formation process.

Company Structure & Incorporation

We help establish the appropriate legal structure and prepare the information required for registration with Companies House.

Depending on your circumstances, this may include:

  • Private limited company formation
  • Director and shareholder setup
  • Share capital structure
  • People with Significant Control (PSC) information
  • Appropriate SIC code selection
  • Company name checks
  • Standard formation documentation
  • Companies House incorporation submission

Where a more unusual ownership or share arrangement is required, we can discuss the structure before the application is submitted.

Registered Office & Director Service Address

Every UK limited company must have an appropriate registered office address, and the registered office appears on the public Companies House register.

Protax can provide a Wimbledon registered office address for eligible companies.

We can also provide a director service or correspondence address, helping directors avoid using their residential address as their public-facing Companies House address.

Your residential address must still be provided to Companies House where required, but it is normally protected from the general public register.

Which Type of Company Do You Need?

Not every business should be incorporated in exactly the same way. We support several common structures.

Private Limited Company: The standard structure for many UK owner-managed businesses, consultants, contractors and growing companies.

We help establish the company correctly and can continue supporting it with business accounting, Corporation Tax, bookkeeping and payroll.

Property SPV Company: Property investors often use a Special Purpose Vehicle limited company to hold investment property. We can help establish the company and coordinate the formation with your wider landlord and property tax planning. The right structure should be considered before property is purchased rather than after transactions have already taken place.

Company Limited by Guarantee: We can assist with companies limited by guarantee where this structure is appropriate, including organisations that do not operate with conventional shareholders.

Limited Liability Partnership: Where an LLP (Limited Liability Partnership) is more suitable than a limited company, we can assist with the incorporation process and explain the accounting and tax responsibilities that follow.

UK Company Formation for Non-UK Residents

You do not have to live in the UK to become a director of a UK company. Muhammad Bilal, FCCA, assists non-UK residents who want to form a company in the UK, helping them navigate the practical requirements around Companies House, registered office arrangements and ongoing accounting.

We can help with:

  • UK company incorporation
  • Registered office arrangements
  • Director service address
  • Company structure
  • UK accounting and tax compliance after formation

While we can assist non-UK residents with forming a UK company, opening a UK business bank account is generally not practical for non-UK residents, so banking support is not included as part of this service.

Companies House Identity Verification

Companies House identity verification is now part of the UK company-registration framework. Directors registering a new company are required to complete the applicable identity verification process and provide their Companies House personal code during registration.

Protax does not provide identity verification as part of this service, but we will explain what information is required before preparing your company incorporation application.

How Our Company Formation Process Works

1. Initial Structure Review

We discuss what the business will do, who will own and manage it, and which structure is appropriate.

2. Formation Information

We collect the required director, shareholder or guarantor details, company name, registered office information, SIC code and ownership information.

3. Companies House Submission

We prepare and submit the incorporation application using the agreed company structure. In our experience, around 90% of straightforward formations we manage are approved within two hours.

Companies House controls the approval process; however, some applications may take longer and occasionally up to several working days.

4. Company Setup & Next Steps

Once incorporated, we help you understand the accounting, tax and Companies House responsibilities that begin with your new company.

What Happens After Your Company Is Incorporated?

Launching a new business? We help you choose the right structure (sole trader vs Limited Company), register with Companies House, set up your accounting software, register for VAT if required, and implement a tax-efficient strategy from your very first transaction.

Protax can continue supporting you with:

Corporation Tax

We help activate and manage the company's Corporation Tax position and prepare its annual accounts and CT600 return.

Bookkeeping & Cloud Accounting

We can organise your accounting records and set up an appropriate cloud bookkeeping system from the beginning.

VAT Registration & Returns

If VAT registration is required or commercially beneficial, we can advise on registration and manage ongoing MTD-compliant VAT returns.

PAYE & Director Payroll

Where the company employs staff or operates director payroll, we can establish PAYE and manage ongoing payroll submissions.

Director Salary & Dividend Planning

For owner-managed companies, we can advise on how salary, dividends and other remuneration interact with the company's wider tax position.

Anything else?

You can use Protax for company formation as a standalone service or continue with us for ongoing accounting and tax support.

Company Secretarial & Companies House Support

Your responsibilities do not stop once Companies House issues the Certificate of Incorporation.

Companies must keep their Companies House information accurate and make required filings when circumstances change.

Our ongoing company secretarial support can assist with:

  • Confirmation statements
  • Registered office changes
  • Director appointments and resignations
  • Shareholder and company-detail changes
  • Companies House updates
  • Maintaining required company information
  • General corporate compliance support

This keeps the public company record accurate while allowing you to focus on running the business.

Structure Before Submission

We consider ownership, business activity and future accounting requirements before the company is registered.

Companies House Registration

Registered office, bookkeeping, VAT, payroll, Tax and company-secretarial services can all be coordinated through one firm.

Support After Incorporation

You have an accountant available when the company begins trading rather than having to solve each compliance requirement separately.

Wimbledon-Based, UK-Wide Support

Protax Consultants is based in Wimbledon and supports companies throughout London and across the UK, including overseas founders establishing UK businesses.
